Dawn is the Founder and President of Palladium Chief Legal Officers, a part-time General Counsel (or Chief Legal Officer) service, serving the legal and business needs of companies without an in-house legal counsel. Dawn and the other Palladium attorneys serve as the Chief Legal Officer (“CLO”) for one or more companies, providing their daily legal needs as a member of their management teams and providing key legal and business strategic advice as a full-time CLO would, but on the level that these smaller companies can support.
Dawn has nearly 2 decades of in-depth experience in a multitude of health care, technology, corporate and general business issues. She has spent most of her career simultaneously managing business units while providing the corporate legal work, strategic counsel, and negotiations as the in-house legal counsel. She has served on several Executive Management Committees, advising business leaders, providing the strategic legal and regulatory direction, ensuring consistency in strategies across business groups and countries and alignment with business objectives, including assisting key business managers in maneuvering around legal and business concerns, in large and small companies, both private and public. Most recently, she served as the Interim General Counsel for Coloplast Corp., the Americas regional headquarters for the Denmark-based international medical device company after having run the due diligence and acquisition agreement terms for the healthcare, regulatory and technology portions of the deal. Her career is marked with increasing operational efficiencies, monetary recoveries and savings along with legal and regulatory compliance utilizing visionary and innovative methods. Her success is directly related to her unique ability to translate in between legal and business issues, with equal expertise in both environments.
Prior to starting Palladium, she served as Chief Counsel HealthCare Imaging division for the Americas, Global HealthCare Regulatory Counsel, Regional Head of HealthCare Regulatory Affairs & Quality Assurance for the Americas, and U.S. Chief Privacy Officer for Agfa Corporation, an international medical imaging company. As such, she served as the global regulatory expert, strategist and counsel for the medical device business, which included intellectual property protection, e-commerce strategies (1 of 3 inventors of a patent-pending method of e-commerce), strategic alliances, distribution and channel conflict, state, federal & private payer regulations, product licensing, labeling, marketing, design controls, privacy and security regulations, and quality system regulations & voluntary standards for a sales & marketing organization and manufacturing sites.
Dawn’s career also includes her role as the VP of Legal and Administrative Affairs and Director, Diabetes Programs for ProMedex, Inc., a venture-backed, internet-based, disease-management software company, where she developed and steered the company through creative legal and business paths, managed human resources, served as operations and regulatory/legal expert in development, problem solving, design, and implementation of educational materials, business rules, new software programs and other products and services, which served as the basis for other programs. As the Chief of Third Party Recovery, Dawn managed a billion-dollar producing section of the North Carolina Medicaid agency. In this role, in addition to negotiating hundreds of settlements and setting new policies and procedures for implementing programs, she served as the corporate liaison with constituent CXO’s, senior managers, legislators, State and Federal regulators, other government agencies and officials, attorneys, medical providers, and others. She has managed large and small departments, both domestic and international with as many as 30 employees.
She is a frequent speaker and leader of seminars to internal and external groups, tradeshows and industry seminars on protecting intellectual property rights, HIPAA (Health Insurance Portability & Accountability Act of 1996), Medicaid & Medicare laws, third-party insurance and managed care plans, coverages and subrogation and the healthcare industry generally, and various women seminars on communication, negotiation, etc. and was a speaker at the Women’s International Leadership & Entrepreneurship Summit in Istanbul, Turkey, June 2009.
Dawn obtained her Bachelor of Arts degree in English and Political & Social Thought (Distinguished Honors Major) from the University of Virginia and her Juris Doctor from the Walter F. George School of Law at Mercer University. Dawn has served and currently serves on various independent Boards of Directors, such as the American Turkish Friendship Council, Zonta International Buckhead Chapter, Wake Medical Center Foundation Partners’ Circle Founding President Executive Committee, Wake Medical Center Foundation Presidents’ Circle, American Heart Association Wake County, NC Chapter Board of Directors, NC Museum of Art Contemporaries Group Board of Directors, White Memorial Presbyterian Church Stephen Minister, White Memorial Presbyterian Church Step-Up Transitional Housing Program Counselor.
